  • Counsel for a private investment fund in the acquisition of a well know exclusive Oklahoma country club which included the purchase of existing debt, a receivership of the facilities and developing and implementing strategies for acquiring the club with pending receivership and foreclosure proceedings.
  • Counsel for the acquisition of multifamily student housing projects in California, Arizona and Louisiana.
  • Counsel for the owner in the acquisition and refinancing of 17 multifamily projects located in Texas, Florida and South Carolina in a $161,000,000 bond transaction.
  • Counsel for the acquirer of a member owned country club in Maryland through the purchase of existing debt and a debt-in-lieu of foreclosure transaction.
  • Counsel for the owner of the 36-hole Terre Blanche Golf Club in the Domaine de Terre Blanch development in southern France incorporating a Four Seasons resort in restructuring their club membership program and revising the documentation and relationship between the club and Four Seasons.
  • Counsel to the owner of a 36-hole high-end private golf and country club located in The Woodlands, Texas in the restructuring of the membership programs including the preparation of documents for the future transfer of the club to the members through an equity conversion. 
  • Counsel for an international auto parts company based in Korea in their acquisition of warehouses of 445,000 square feet in Texas and 377,000 square feet in Ohio.
  • Negotiation of a $200,000,000 credit facility for real estate acquisitions.
  • Counsel for the owner of the Desert Mountain development in Scottsdale, Arizona in preparation for, negotiation of, due diligence and closing of the high eight figure case sale (descried in an industry public as “the biggest equity conversion in the history of golf”) to the members of the ultra high end Desert Mountain Club.
  • Counsel for the acquisition of Mont-Sainte Anne Resort located outside of Quebec City, Quebec which amenities included 400 acres of alpine skiing, a convention center, and golf course.
  • Counsel for the an exclusive private country club located near Park City, Utah including the preparation of all club membership documentation including the future transfer of the club to the members in an equity conversion and the preparation and filing of all documentation under the Interstate Land Sales Full Disclosure Act to allow for the sale of residential lots at the development.
  • Counsel for the owner in the negotiation of management agreements for the management of El Conquistator Resort & Country Club located in Fajardo, Puerto Rico, Ventana Canyon Resort & Golf Club located in Arizona and Carmel Valley Golf Club located in California.
  • Counsel for the owners of restaurants including “celebrity chef restaurants” in the negotiation of restaurant leases.

John M. Theirl

John Theirl is a founding member of Theirl Wilson PLLC, a firm focused on the representation of real estate, business and hospitality industry investors and clients in acquisitions, sales, development and operations both nationally and internationally.
